These Terms of Service ("Terms") govern your access to and use of Dropclip and related websites, applications, and services (the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Eligibility
You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements that apply. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
Accounts
You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly at support@dropclip.co if you suspect unauthorized access.
The Services
We provide tools to upload, process, schedule, and publish creative content, including features that may change over time. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.
Your content
You retain ownership of content you submit. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and distribute your content solely to operate, secure, and improve the Services and to act on your instructions (for example publishing to a connected platform).
You represent that you have all rights necessary to submit your content and that it does not violate applicable law or third-party rights.
Acceptable use
You agree not to:
- Use the Services in violation of law or third-party terms (including platform rules for connected services).
- Upload malware, attempt unauthorized access, probe or stress systems without permission, or interfere with other users.
- Harass, harm, or impersonate others, or distribute illegal or exploitative material.
- Misrepresent the origin of content, manipulate metrics, or engage in deceptive practices.
- Reverse engineer the Services except where applicable law expressly permits.
We may suspend or terminate access for conduct that violates these Terms or creates risk.
Third-party services
Integrations and links may be subject to separate terms and privacy policies. We are not responsible for third-party services you choose to use.
Fees
Certain features may be paid. If you purchase a subscription or paid plan, its price, billing cycle, and cancellation terms will be presented at checkout or in an order form and may supplement these Terms.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE PROHIBITED BY LAW.
Indemnity
You will defend and indemnify us and our affiliates, directors, and employees against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, or your violation of these Terms or applicable law.
Termination
You may stop using the Services at any time. We may suspend or terminate access for violations, risk, legal requirements, or extended inactivity where permitted. Provisions that by their nature should survive will survive termination.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your country say otherwise. Courts in Delaware have exclusive jurisdiction for disputes, except that either party may seek injunctive relief in any court of competent jurisdiction.
General
These Terms constitute the entire agreement between you and us regarding the Services and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
